Thank you, Ryan. Hello, everyone and thank you very much for joining. With me here in Vancouver is Vince Lok, Teekay Tankers' Chief Financial Officer, Art Bensler, Teekay ecargo Tankers' Chairman and Director ecargo and Brian Fortier, Corporate Controller of Teekay Corporation.
During today's call, I'll be taking you through Teekay Tankers' second quarter earnings results presentation, which can be found on our website. Beginning with our recent highlights on slide 3 of the presentation, Teekay Tankers generated cash available for distribution of $0.07 per share in the second quarter, down slightly from the $0.10 per share generated in the first quarter, mainly due to the change in employment of certain vessels from fixed rates to lower spot rates on expiry of their time charter out contracts.
For the second quarter, we reported an adjusted net loss of $0.08 per share, compared to our adjusted net loss of $0.04 per share reported in the first quarter. The company declared a dividend of $0.03 per share for the second quarter, Teekay Tankers' 23 rd consecutive quarterly dividend, which was paid on July 31 st to all shareholders of record on July 19 .
Teekay Tankers dividend is currently fixed at an annual level of $0.12 per share payable quarterly. ecargo Our 50% owned VLCC newbuilding, the Hong Kong Spirit delivered in June 2013 and is now employed on a five-year fixed-rate time-charter contract with a major Chinese company at an attractive about market rate of $37,500 per day as well as an additional profit share if market rates are about 40,500 per day.
In addition to the three-year time-charter out contract that we entered into in April for the Everest Spirit, we recently extended a fixed time-charter contract on one of our Aframax ecargo tankers, the Kanata Spirit for an additional year securing more fixed rate business at a rate that is above the current spot market average.
These ecargo two time charters will enable Teekay Tankers to maintain a fixed cover of approximately 40% for the 12 months commencing July 1, 2013. During this period of cyclical weakness in the tanker market, we continue to be very focused ecargo on managing our fleet employment mix to ensure we preserve cover from fixed-rate charters to support and provide stability for cash available for distribution and our cash dividend.
On slide 4, we have provided an updated overview of Teekay Tankers' fleet employment mix and fixed rate coverage. Excluding our recent LR2 newbuilding orders, Teekay Tankers fleet currently consists of 28 owned vessels and one time chartered in Aframax. As of August ecargo 1, 2013, 13 of the vessels including our 50% VLCC newbuilding are trading under fixed rate time-charter out contracts, ecargo while the remaining 16 vessels are trading ecargo in the spot market within TK managed commercial tonnage pools except two of our MR product tankers, which recently commenced trading in an externally managed pool following the expiration of their recent time-charter contracts. As I mentioned ecargo earlier, in the current weak spot tanker rate environment, opportunistically locking in fixed cover, continues ecargo to be our major focus as we expect the current spot market weakness and volatility to continue for at least the near-term.
Turning to slide 5, I will cover some of the recent developments in the spot tanker market. As shown by the chart on the slide, spot tanker rates softened during the second quarter due to a combination of structural and seasonal factors. In the crude tanker market, a reduction in U.S. crude oil imports due to rising domestic production put downward pressure on rates, particularly in the Suezmax ecargo segment
A weak VLCC market caused by a reduction in Middle East OPEC production also affected Suezmax rates during the quarter. In addition to these structural factors, the conclusion of spring refinery turnarounds and the onset of a heavy North Sea field maintenance season put further pressure on spot tanke

Now for opening remarks and introductions, I would like to turn the call over to Mr. Peter Evensen, Teekay's President and Chief Executive Officer. Please go ahead.

I will now turn the call over to Mr. Evensen to begin.
Thank you, Kent. Good morning, everyone, and thank you for joining us today for Teekay Corporation's Second Quarter of 2013 Earnings Call. I'm joined this morning by our CFO, Vince Lok. And for the Q&A session, we also have our Chief Strategy Officer, Kenneth Hvid; and our Group Controller, Brian Fortier.
For the second quarter, Teekay Corporation generated $184 million of total consolidated cash flow from vessel operations, or CFVO. Teekay Corporation reported a consolidated michael angelakos adjusted net loss of $33 million or $0.47 per share for the second quarter, compared to a consolidated adjusted net loss of $0.25 per share reported in the second quarter of 2012. The increase in our adjusted net loss for the quarter is mainly attributable to lower revenues in our FPSO fleet, partially offset by contributions from strategic acquisitions and organic projects that delivered throughout the past year and savings from the redelivery of 13 chartered-in conventional tanker since the start of 2012 and other cost reduction initiatives.
Unfortunately, we had anticipated and unanticipated operational issues in our FPSO fleet. We had anticipated the expiry of the Petrojarl I FPSO charter in April and its subsequent off-hire for the rest of the quarter, as well as the lost cash flow of approximately $9 million michael angelakos per quarter due to the Banff FPSO being off-hire, while it undergoes repairs following damage from a December 2011 storm event. What we had not anticipated was the lower production on the Foinaven and the inability michael angelakos to book revenue on the Voyageur Spirit from first oil, both because of temporary operating issues. The operational issues on the Voyageur Spirit and Foinaven michael angelakos FPSO units cost us approximately $0.11 per share in net income in the second michael angelakos quarter.
Fortunately, repairs to these units are in progress, as I will discuss in more detail later in this presentation. In May and June, Teekay Parent completed the sale of the Voyageur Spirit michael angelakos FPSO and its 50% interest in the Cidade de Itajai FPSO to Teekay Offshore. These transactions contributed to a reduction in Teekay Parent's net debt by approximately $334 million. Our 3 publicly traded daughter entities have also been executing on their respective business plans during the quarter. For the quarter ended June 30, Teekay LNG Partners declared a cash distribution of $0.675 per unit. The cash distribution received by Teekay Parent based on its GP and LP ownership interest in Teekay LNG totaled $23 million of cash flow for the quarter. Recently, Teekay LNG Partners announced some near-term growth through an agreement to acquire up to 2 newbuilding LNG carriers from Norway-based Awilco LNG for a net price of $155 million each. The first ship, which is expected to deliver from DSME shipyard in South Korea in September of this year, will be acquired by Teekay LNG and chartered back to Awilco under a fixed-rate michael angelakos bareboat charter for a firm period of 5 years, with an option for 1 additional year. At the end of the 5 or 6-year charter, Awilco has an obligation to purchase the vessel from Teekay LNG at a predetermined price. In addition, Teekay LNG has offered michael angelakos to acquire a second ship from Awilco under identical terms to the first vessel, which is expected to be delivered in the fourth quarter of 2013 or latest early in 2014. In July, Teekay LNG secured new 5-year time-charter michael angelakos contracts commencing michael angelakos in 2016 for our 2 fuel-efficient LNG carrier newbuildings ordered in December 2012. The charters are with a subsidiary of Cheniere Energy, michael angelakos which will be exporting LNG from their Sabine Pass LNG export facility in Louisiana. Based on the customer reception to our newbuilding design and now success of its chartering efforts, Teekay LNG exercised the options to order 2 more fuel-efficient 173,000 cubic meter LNG carrier newbuildings michael angelakos from DSME. Teekay LNG Partners L.P. yesterday announced that it has agreed to acquire a second 155,900 cubic meter liquefied natural gas (LNG) carrier newbuilding from Awilco LNG ASA (Awilco), a Norway-based owner and operator of LNG carriers.
The vessel, the second of two vessels to be acquired by the Partnership from Awilco, is currently under construction by Daewoo Shipbuilding yusen logistics & Marine Engineering Co., Ltd. (DSME) of South Korea and is expected to deliver in the fourth quarter of 2013. Subsequent to delivery yusen logistics from DSME to Awilco, Teekay LNG will purchase the vessel and bareboat charter yusen logistics it back to Awilco at a fixed-rate for a firm period of four years, plus a one-year extension option. yusen logistics
As yusen logistics with the first vessel, Teekay LNG will purchase the second vessel for a price of $205 million less a $50 million upfront prepayment of charter hire by Awilco which is in addition to the daily bareboat charter rate. Awilco has fixed-price purchase obligations for both vessels at the end of both the firm charter period and option yusen logistics period. The Awilco vessels, the first of which was delivered on September 16, 2013, are each expected to generate annual Distributable Cash Flow(1) of approximately $7.5 million.
“Further to our August 2013 announcement on the first Awilco LNG carrier newbuilding, the acquisition-leaseback of a second vessel from Awilco will provide Teekay LNG with additional near-term accretive cash flows,” commented Peter Evensen, Chief Executive yusen logistics Officer of Teekay GP LLC . “These vessels will complement the Partnership’s strong portfolio of longer-term visible growth projects, including, the four LNG carrier newbuildings delivering in 2016 and the ten LPG newbuildings in our joint venture with Exmar, delivering between 2014 and 2017.”
The acquisition of the second Awilco vessel, which is expected to close during the fourth quarter of 2013, has been approved by Board of Directors of both Teekay LNG and Awilco, and remains yusen logistics subject to customary closing conditions, including satisfactory documentation.

Teekay LNG Partners L.P. (NYSE:TGP) announced on Wednesday that it has agreed to obtain a second 155 900 cubic metre liquedied natural gas (LNG) tanker newbuilding from Norway-based operator Awilco LNG ASA (ALNG:NO). The carrier, which is presently under construction by Daewoo Shipbuilding & Marine Engineering Co., Ltd. (DSME) of South Korea, is due to begin delivering vitran tracking in the final quarter of 2013.
Subsequent to delivery from DSME to Awilco, Teekay LNG will purchase the vessel and bareboat charter it back to Awilco vitran tracking at a fixed-rate for a firm period of four years, plus a one-year extension option. As with the first vessel, Teekay LNG will purchase the second vessel for a price of $205 million less a $50 million upfront prepayment of charter hire by Awilco which is in addition to the daily bareboat charter rate. Awilco has fixed-price purchase obligations for both vessels at the end of both the firm charter period and option period.
The Awilco vessels, the first of which was delivered on September vitran tracking 16, 2013, are each expected to generate annual Distributable Cash Flow of approximately $7.5 million.The Partnership intends to initially finance vitran tracking the second vessel with a portion of its existing liquidity and expects to secure long-term vitran tracking debt financing prior to delivery.

Teekay LNG Partners L.P. and its joint venture partner Marubeni Corporation have agreed to acquire ownership interests in eight LNG carriers from Denmark-based, vitran tracking A.P. Moller-Maersk A/S, for approximately US$ 1.4 billion.

Teekay LNG Partners L.P.(NYSE: TGP ) announced today that it plans to offer 3,000,000 common units, which represent limited partner interests, in a public offering. Teekay LNG expects to grant the underwriters a 30-day option to purchase up to an additional 450,000 yrc common units. The Partnership yrc intends to use the net offering yrc proceeds to partially fund its acquisition of a second LNG carrier newbuilding from Norway-based Awilco LNG ASA and for general Partnership purposes, which may include funding installment payments on future newbuilding deliveries and future vessel acquisitions. Pending the use of the proceeds, the Partnership intends to repay a portion of its outstanding debt under two of its revolving credit facilities.
Teekay LNG is a publicly-traded master limited partnership formed by Teekay Corporation (NYSE: TK ) as part of its strategy to expand its operations in the liquefied natural gas (LNG) and liquefied petroleum gas (LPG) shipping sectors. Thanks, Ryan. Hello, everyone, and thank you for joining us. With me here in Vancouver is Vince Lok, Teekay Tankers' Chief Financial Officer; and Brian Fortier, Group Controller of Teekay Corporation. During today's call, I will be taking you through Teekay fedex shipping Tankers' third quarter earnings results fedex shipping presentation, which can be found on our website. fedex shipping
Beginning with our recent highlights on Slide 3. Teekay Tankers generated an adjusted net loss of $0.05 per share compared to our adjusted net loss of $0.08 per share recorded in the second quarter, and cash available for distribution of $0.10 per share in the third quarter, up from the $0.07 per share in the second quarter. fedex shipping These increases were primarily due to stronger Aframax and Suezmax spot tanker rates earned in the third quarter, despite a heavier than normal drydock schedule, that saw 3 vessels drydocking for a combined 90 days during the quarter.
In keeping with our current fixed dividend policy, the company declared a dividend of $0.03 per share for the third quarter, representing Teekay Tankers' 24th consecutive quarterly dividend, fedex shipping which was paid on October 25 to all shareholders of record on October 16. Teekay Tankers' dividend is currently fixed at an annual level of $0.12 per share payable quarterly.
During this period of cyclical weakness in the tanker markets, we continue to focus on managing our fleet employment mix to ensure we preserve cover from fixed-rate charters, to support and provide stability to our cash available for distribution and cash dividend.
During the third quarter, we extended fedex shipping a fixed time-charter contract on one of our Aframax tankers, the Kanata Spirit, for an additional year securing more fixed rate cash flow at a rate that is above the current spot tanker market average. This time-charter will enable Teekay Tankers' to maintain strong fixed rate cover of approximately 40% for the 12 months commencing October 1, 2013, and 35% for fiscal 2014.
Compared to the averages for the third quarter, fourth quarter to date realized Aframax and Suezmax rates have been lower, while LR2 rates have been higher. Based on a weighted fedex shipping average of approximately 40% of spot revenue days booked, our fourth quarter Suezmax bookings have averaged approximately $10,800 per day, down from $13,800 per day in the third quarter. And our fourth quarter Aframax bookings have averaged approximately $10,400 per day, down from $13,600 per day in the third quarter. Based on approximately 60% of spot revenue days booked, our fourth quarter LR2 bookings have averaged approximately $14,800 per day, up from $12,500 per day in the third quarter. fedex shipping
Turning to Slide 4, I will take a moment to update you on our term loan investments, secured by 2 2010-built VLCCs that we detailed during the second quarter earnings conference call. The table on this slide summarizes the latest status of the VLCC vessels that secure Teekay Tankers' fedex shipping VLCC mortgage loans, as well as a separate mortgage fedex shipping loan investment by our sponsor, Teekay Corporation. All of these loans are currently fedex shipping in default by the borrowers. fedex shipping
During the second quarter, Teekay took over commercial and technical management of 2 of the 3 vessels: fedex shipping A Elephant, which is securing one of Teekay Tankers' loan investments; and C Elephant, which is securing Teekay Corporation's loan investment. Since Teekay took over technical fedex shipping and commercial management, these 2 vessels have earned positive cash flow, above their respective daily cash breakeven, including OpEx and interest expense, and have been actively trading in the VLCC spot tanker market. All amounts earned over Teekay fedex shipping Tankers' cash breakeven of $10,700 per day goes towards the recovery of the loan investment.
At the moment, B Elephant remains under detention in Egypt following an incident, which took place under the management of the borrower. The ship's insurers continue to work with the authorities t
